M&A Activity Summary

In addition to public and private M&A activity, 2016 witnessed a
flurry of financial sponsor activity encompassing the spectrum of
add-ons to exits. Several private equity players made significant
additions to existing portfolios. Among these were CM Equity’s
Preferred System Solutions’ acquisition of Synaptic Solutions in an
effort to strengthen PSS’s business network and contract base with
the IC. Additionally, Centerra Group made significant add-on
investments to enhance capabilities.
2016 also witnessed a number of platform investments. J.F.
Lehman acquired Oldenburg’s Defense and Mining business units
to create Lake Shore Systems. Arlington Capital remained highly
active throughout 2016. Through the acquisition of EOIR, PROTEUS
Technologies and Intelligent Software Solutions, Arlington Capital
created Polaris Alpha, a provider of mission-critical technology,
software and solutions to customers in the defense and intelligence
communities. Vista Equity Partners and KKR also made significant
platform investments, gaining footholds in software and military
sensor & electronic warfare markets, respectively.
Finally, 2016 saw the divestiture of a number of large portfolio
companies. Thoma Bravo divested Deltek, which it owned since
October 2012, to Roper for $2.6 billion. KBR acquired Wyle, a
provider of specialized engineering, and professional, scientific and
technical services from Court Square for $570 million. Court Square
acquired Wyle in June 2009. And New Mountain Capital sold its
stake in Camber, a technical services and cyber security provider, to
Huntington Ingalls Industries. NMC acquired Camber in late 2008.
