Worthington Industries Inc. has
acquired Midstream Equipment
Fabrication LLC for $40 million. The
acquisition provides Worthington
access to all of the country’s major
domestic shale plays. The company
has spent $245.1 million on oil and
gas service businesses since
September 2012.
Anchor Drilling Fluids USA, Inc.
provides integrated fluids
management and customized drilling
fluids, and related services to the oil
and gas exploration and production
industry in the US.
This acquisition comes on the heels
of Calumet Lubricants Co., Limited
Partnership acquisition of Anchor
Drilling Fluids USA, Inc. from a group
of sellers for approximately $230
million on March 18, 2014.
U.S. Silica Holdings, Inc.
(NYSE:SLCA) acquired Cadre
Services, Inc. for $98 million. The
purchase price of $98 million, less
the net present value of
approximately $14 million in deferred
tax assets, results in $84 million of
net consideration. Adjusted LTM
EBITDA of $11.1 million represents a
purchase price multiple of 7.6 times.
