Sell Side Representation

The scope of The McLean Group's assignments depends on the goals of each respective client. In the past, client mandates have ranged from resolving business succession issues to providing shareholders or estates with liquidity. The McLean Group's involvement has ranged from full representation to special assignments in which the firm was retained for a specific transaction with a previously-identified buyer or investor. When a seller already has identified a buyer, the seller nonetheless benefits from hiring the McLean Group by obtaining an objective view of value, assistance in negotiations and, if appropriate, the identification of additional prospective buyers.

Acquisition Advisory

The McLean Group represents corporations, private equity firms and investors that are seeking to acquire businesses. McLean helps formulate strategy, identify targets, initiate contact, negotiate terms of the agreement and raise acquisition financing, if necessary.

Divestitures

The McLean Group works closely with corporate executives to execute divestitures and spin-offs of subsidiaries, divisions, product lines or assets that no longer fit corporate long-range plans. Because most companies do not employ dedicated staff capable of specializing in corporate divestitures, they rely on McLean to provide a high level of professional expertise. The McLean Group leverages its resources to identify the most likely buyers for its clients' corporate assets and to conduct the most thorough and confidential auction possible.

Management Buyouts

McLean assists its corporate clients in conceptualizing and structuring buyout plans. The McLean Group advises as to alternative courses of action, anticipates likely shareholder responses, makes presentations to Boards of Directors and shareholders, negotiates transactions and arranges both debt and equity financing.

Recapitalizations

Companies conduct recapitalizations for many reasons: to provide liquidity for shareholders; to reduce ownership in closely-held companies while keeping controlling shareholders in place, or to reduce the overall cost of capital. McLean helps companies determine their most appropriate capital structures in support of future growth. The firm also assists its clients in structuring, raising and negotiating an optimal debt-equity mix.
